1. Partes
Estos Términos regulan el uso de Agenda Systems ("el Servicio"), operado por Mayra Martinez, persona física con actividad empresarial ("Agenda Systems", "nosotros"). Agenda Systems, aunque opera de forma remota, está establecido dentro del territorio de México. Para cualquier consulta o necesidad relacionada con datos personales, puede comunicarse con nosotros a través del correo electrónico hey@agenda.systems.
Al crear una cuenta, aceptas estos Términos en su totalidad.
2. Descripción del Servicio
Agenda Systems es una plataforma SaaS de gestión de citas en línea. Permite a negocios ("Tenants") recibir reservas de sus clientes finales a través de una página web, con herramientas opcionales de automatización vía WhatsApp y cobro en línea.
3. Registro y Cuenta
- Debes proporcionar nombre y correo electrónico válidos.
- Eres responsable de mantener la confidencialidad de tu contraseña.
- Debes ser mayor de 18 años o tener representación legal para contratar.
- Una cuenta corresponde a una persona o negocio. No está permitida la reventa del acceso.
4. Planes y Suscripción
4.1 Planes disponibles

4.2 Facturación
- Primero creas tu cuenta y confirmas tu correo. La suscripción se cobra cuando eliges un plan y completas el pago en el panel; se renueva según la periodicidad mensual o anual elegida. El precio final se muestra antes de pagar.
- Los precios están expresados en pesos mexicanos (MXN) e incluyen IVA cuando aplique conforme al régimen RESICO.
4.3 Cancelación
- Puedes cancelar tu suscripción en cualquier momento desde tu panel de administración.
- Al cancelar, el acceso permanece activo hasta el último día del periodo pagado.
- Puedes reactivar tu suscripción en cualquier momento antes o después del vencimiento.
4.4 Reembolsos
- Si cancelas dentro de los primeros 7 días naturales desde la activación inicial, puedes solicitar un reembolso completo enviando un mensaje a hey@agenda.systems.
- Fuera de ese periodo, no se emiten reembolsos por periodos no utilizados.
- Los reembolsos no aplican en renovaciones automáticas subsecuentes.
5. Pagos de Clientes Finales
Agenda Systems no procesa ni retiene pagos entre los Tenants y sus clientes. Los cobros se realizan directamente a través de las cuentas propias del Tenant en Stripe o Mercado Pago, bajo los términos y condiciones de dichos proveedores. Agenda Systems no es responsable por disputas, contracargos o errores en dichos pagos.
6. Integración con WhatsApp
En planes que incluyan WhatsApp:
- El Tenant conecta su propio número de WhatsApp Business a través de Kapso.
- Los mensajes entrantes son recibidos por Agenda Systems y procesados mediante inteligencia artificial (DeepSeek) para automatizar la gestión de citas.
- El Tenant es responsable de cumplir con las políticas de uso de WhatsApp Business y Meta.
- Agenda Systems no garantiza la disponibilidad continua de la integración con WhatsApp, ya que depende de terceros (Meta, Kapso).
7. Uso Aceptable
Queda prohibido:
- Usar el Servicio para actividades ilegales o fraudulentas.
- Enviar comunicaciones no solicitadas (spam) a clientes finales.
- Intentar acceder a cuentas o datos de otros Tenants.
- Revender o sublicenciar el acceso al Servicio.
- Usar el Servicio para actividades que violen derechos de terceros.
8. Disponibilidad del Servicio
Agenda Systems opera en modalidad "tal cual" (as-is). No garantizamos disponibilidad ininterrumpida ni un tiempo de actividad mínimo (SLA). Realizamos mantenimientos que pueden implicar interrupciones temporales, preferentemente en horarios de bajo tráfico.
9. Propiedad Intelectual
Todo el software, diseño, marca y contenido de Agenda Systems son propiedad de Mayra Martinez. Los Tenants no adquieren ningún derecho de propiedad intelectual sobre el Servicio al suscribirse.
El contenido que los Tenants cargan en la plataforma (servicios, horarios, datos de negocio) es de su propiedad.
10. Limitación de Responsabilidad
En la medida permitida por la ley mexicana, Agenda Systems no será responsable por:
- Pérdida de ingresos o citas derivadas de interrupciones del Servicio.
- Daños causados por el uso de integraciones de terceros (WhatsApp, Stripe, Mercado Pago, Kapso).
- Contenido generado por la IA que resulte impreciso en el contexto del negocio del Tenant.
La responsabilidad máxima de Agenda Systems se limita al monto pagado por el Tenant en los últimos 30 días.
11. Eliminación de Datos
Cuando la suscripción esté cancelada e inactiva, el Tenant puede solicitar la eliminación total ("hard delete") de su cuenta y todos los datos asociados enviando una solicitud a hey@agenda.systems. La eliminación se realiza en un plazo de 30 días hábiles.
12. Modificaciones a los Términos
Podemos modificar estos Términos en cualquier momento. Notificaremos cambios relevantes por correo electrónico con al menos 15 días de anticipación. El uso continuo del Servicio tras la notificación constituye aceptación de los nuevos términos.
13. Ley Aplicable y Jurisdicción
Estos Términos se rigen por las leyes de los Estados Unidos Mexicanos. Para cualquier controversia, las partes se someten a la jurisdicción de los tribunales competentes de Zapopan, Jalisco, renunciando a cualquier otro fuero que pudiera corresponderles.

1. Parties
These Terms govern the use of Agenda Systems (the "Service"), operated by Mayra Martinez, an individual with business activity ("Agenda Systems", "we", "us"). Although Agenda Systems operates remotely, it is established within the territory of Mexico. For any inquiry or need related to personal data, you may contact us at hey@agenda.systems.
By creating an account, you accept these Terms in full.
2. Description of the Service
Agenda Systems is an online appointment management SaaS platform. It allows businesses ("Tenants") to receive bookings from their end customers through a web page, with optional automation tools via WhatsApp and online payments.
3. Registration and Account
- You must provide a valid name and email address.
- You are responsible for keeping your password confidential.
- You must be at least 18 years old or have legal representation to enter into a contract.
- One account corresponds to one person or business. Reselling access is not permitted.
4. Plans and Subscription
4.1 Available plans

4.2 Billing
- First create your account and confirm your email. Your subscription is charged when you choose a plan and complete payment in the admin panel; it renews on the monthly or yearly interval you select. The final price is shown before payment.
- Prices are displayed in the currency available to you at checkout and include VAT when applicable under the RESICO tax regime.
4.3 Cancellation
- You may cancel your subscription at any time from your admin panel.
- When you cancel, access remains active until the last day of the paid period.
- You may reactivate your subscription at any time before or after expiration.
4.4 Refunds
- If you cancel within the first 7 calendar days after initial activation, you may request a full refund by contacting hey@agenda.systems.
- Outside that period, no refunds are issued for unused periods.
- Refunds do not apply to subsequent automatic renewals.
5. End-Customer Payments
Agenda Systems does not process or hold payments between Tenants and their customers. Charges are made directly through the Tenant's own Stripe or Mercado Pago accounts, under those providers' terms and conditions. Agenda Systems is not responsible for disputes, chargebacks, or errors in those payments.
6. WhatsApp Integration
On plans that include WhatsApp:
- The Tenant connects their own WhatsApp Business number through Kapso.
- Incoming messages are received by Agenda Systems and processed using artificial intelligence (DeepSeek) to automate appointment management.
- The Tenant is responsible for complying with WhatsApp Business and Meta usage policies.
- Agenda Systems does not guarantee continuous availability of the WhatsApp integration, as it depends on third parties (Meta, Kapso).
7. Acceptable Use
The following is prohibited:
- Using the Service for illegal or fraudulent activities.
- Sending unsolicited communications (spam) to end customers.
- Attempting to access other Tenants' accounts or data.
- Reselling or sublicensing access to the Service.
- Using the Service for activities that violate third-party rights.
8. Service Availability
Agenda Systems is provided on an "as-is" basis. We do not guarantee uninterrupted availability or a minimum uptime (SLA). We perform maintenance that may cause temporary interruptions, preferably during low-traffic hours.
9. Intellectual Property
All software, design, branding, and content of Agenda Systems are owned by Mayra Martinez. Tenants do not acquire any intellectual property rights over the Service by subscribing.
Content that Tenants upload to the platform (services, schedules, business data) remains their property.
10. Limitation of Liability
To the extent permitted by Mexican law, Agenda Systems will not be liable for:
- Loss of revenue or appointments resulting from Service interruptions.
- Damages caused by the use of third-party integrations (WhatsApp, Stripe, Mercado Pago, Kapso).
- AI-generated content that is inaccurate in the context of the Tenant's business.
Agenda Systems' maximum liability is limited to the amount paid by the Tenant in the last 30 days.
11. Data Deletion
When the subscription is canceled and inactive, the Tenant may request full deletion ("hard delete") of their account and all associated data by sending a request to hey@agenda.systems. Deletion is completed within 30 business days.
12. Changes to These Terms
We may modify these Terms at any time. We will notify you of relevant changes by email at least 15 days in advance. Continued use of the Service after notification constitutes acceptance of the new terms.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Mexican States. For any dispute, the parties submit to the jurisdiction of the competent courts of Zapopan, Jalisco, waiving any other venue that may apply.
